1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Doccera governing your access to and use of the Doccera document editing platform, website, AI-powered editing features, and related services (collectively, the "Services").
By accessing or using the Doccera document editing Services, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you may not access or use the Services. These Terms are effective as of the date you first access or use the Services.
Doccera may revise these Terms at any time to reflect changes in Doccera's document editing platform, AI technologies, applicable laws, or legal requirements. If Doccera does, those revised Terms will supersede prior versions. Unless Doccera states otherwise, revisions will be effective upon posting. Doccera will make reasonable efforts to notify you of material changes to these Terms. Your continued access or use of the document editing Services after the effective date of the revised Terms constitutes your acceptance of any revisions. Doccera encourages you to check these Terms regularly.
THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT IMPACT YOUR RIGHTS ABOUT HOW TO RESOLVE DISPUTES. PLEASE READ THEM CAREFULLY.
2. Access to the Services
2.1 Eligibility
Doccera's document editing services are available to users of all ages. However, certain premium features may require payment methods that are only available to adults. Users of any age may use Doccera's basic document editing features. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
2.2 Registration and Account Security
To access Doccera's document editing features, you may be required to register for an account. When you register, you agree to:
- Provide accurate, current, and complete information for document ownership and attribution as prompted by the registration process
- Maintain and promptly update your account information to ensure proper document access and keep it accurate, current, and complete
- Maintain the security of your account credentials (including passwords and API keys) to prevent unauthorized document access
- Promptly notify Doccera if you discover or suspect any security breaches related to your documents or account at docceraai@gmail.com
- Accept responsibility for all document editing activities that occur under your account, whether or not you have authorized such activities
- Ensure proper permissions for any documents you upload to the platform, including obtaining necessary rights or consents from third parties where applicable
- Not share your account credentials with any third party or allow multiple people to use the same account
Doccera reserves the right to suspend or terminate your account if Doccera determines that any information provided proves to be inaccurate, outdated, or incomplete, or if you violate Doccera's document usage policies or these Terms. You are responsible for safeguarding your password and for all activities that occur under your account.
3. Document Editing Service Offerings
3.1 Service Plans and Free Services
Doccera offers both free and enhanced document editing service plans. The free plan provides basic document editing features with limited AI assistance. Enhanced plans offer additional document editing capabilities, including advanced AI editing suggestions, document collaboration tools, expanded storage capacity, priority customer support, enhanced security features, and additional export options. Specific features and limitations of each plan are described on Doccera's features page.
Doccera may modify the features and functionality included in each service plan at any time. Doccera may also impose limits on certain features or restrict your access to parts or all of the Services without notice or liability. Doccera reserves the right to change the terms and conditions of Doccera's free offers or to terminate such offers entirely at any time without prior notice.
3.2 Plan Management
If you choose an enhanced document editing service plan:
- You will need to provide accurate contact information
- You may change your plan at any time, subject to the terms at the time of change
- You are responsible for any applicable taxes or fees required by law
- You must review the plan details before accepting any service plan
- If you access enhanced features through a mobile application store, the terms in that store's agreement will apply to the extent they differ from these Terms
3.3 Service Term and Renewal
Your document editing service plan term depends on the plan you select. You can manage your plan at any time through your account settings or by contacting customer support at docceraai@gmail.com. If you cancel an enhanced plan, you will retain access to enhanced document editing features until the end of your current service period.
3.4 Service Changes
Doccera may change the service offerings at any time. If Doccera makes significant changes to your current plan, Doccera will provide notice at least thirty (30) days before the change takes effect. Your continued use of the enhanced document editing Services after the change becomes effective constitutes your agreement to the updated terms. If you do not agree to the changes, you may switch to a different plan before the change takes effect.
3.5 Promotional Offers
Doccera may offer promotional access or other special offers from time to time. Unless otherwise stated, these promotions are only valid for new users and can only be used once per user. Trial periods and promotional offers may not be combined with any other offers or promotions.
4. User Content and Conduct
4.1 User Content
"User Content" refers to any documents, information, data, text, images, files, code, or other materials that users upload, create, edit, or otherwise make available through Doccera's document editing Services.
You retain ownership of your documents and other User Content. By uploading or creating content on Doccera's platform, you grant Doccera a worldwide, non-exclusive, royalty-free license to use, copy, modify, process, analyze, and display your User Content solely for the following purposes: (a) providing and improving Doccera's document editing Services; (b) training and improving Doccera's AI systems to enhance document editing features (unless you opt out via account settings); (c) enforcing Doccera's legal rights; and (d) complying with applicable law.
You are solely responsible for all User Content you submit to or create in the Services. You represent and warrant that: (a) you own all intellectual property rights (or have obtained all necessary permissions) to provide your User Content and to grant the licenses in these Terms; (b) your User Content does not violate any agreements or confidentiality obligations; and (c) your User Content does not violate, infringe, or misappropriate any intellectual property right or other right of any person or entity.
4.2 Document and Content Restrictions
You agree not to upload documents or otherwise use the document editing Services to:
- Violate any applicable international, federal, state, or local law or regulation through document content
- Infringe upon or violate any third party's intellectual property rights, including any patent, trademark, trade secret, copyright, right of publicity, or other proprietary rights in documents
- Create or distribute documents containing defamatory, obscene, pornographic, harmful, threatening, abusive, harassing, offensive, or hateful content
- Embed viruses, malware, adware, spyware, worms, or other harmful or malicious code in documents
- Interfere with or disrupt the document editing Services or servers or networks connected to the Services
- Create documents that collect or store personal data about other users without their express consent
- Use Doccera's AI features to generate content that violates these terms or to circumvent security measures
- Engage in any automated use of the system, such as using scripts to send comments or using any data mining, robots, or similar data gathering and extraction tools
- Attempt to impersonate another user or person or use the username of another user
- Create or distribute content promoting illegal activities, including but not limited to terrorism, obscenity, or child exploitation
4.3 Document Monitoring and Enforcement
Doccera has the right, but not the obligation, to monitor or review documents and User Content. Doccera may remove or refuse to display any document or content that violates these Terms or that Doccera finds objectionable without prior notice. However, Doccera respects your document privacy and will only access your documents when necessary for service provision, legal compliance, or terms enforcement.
Doccera may also take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services. Doccera may terminate or suspend your access to all or part of the Services for any violation of these Terms.
5. Intellectual Property Rights
5.1 Doccera's Intellectual Property
The document editing Services and all content, features, and functionality thereof (including but not limited to all information, software, AI algorithms, text editors, document processors, templates, formatting tools, code, user interface, visual interfaces, design, structure, and the design, selection, and arrangement thereof) are owned by Doccera, Doccera's licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Doccera's name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Doccera or Doccera's licensors. You must not use such marks without Doccera's prior written permission. All other names, brands, and marks are used for identification purposes only and may be the trademarks of their respective owners.
5.2 License to Use Document Editing Platform
Subject to your compliance with these Terms, Doccera grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the document editing Services for your personal or internal business purposes, including creating, editing, storing, and sharing documents. This license does not include any right to: (a) sell, resell, or commercially use the Services; (b) copy, reproduce, distribute, publicly perform or publicly display the Services; (c) modify the Services, remove any proprietary rights notices or markings, or otherwise make any derivative uses of the Services; or (d) use the Services in any manner that is inconsistent with these Terms.
5.3 Restrictions on Platform Usage
In addition to the other restrictions outlined in these Terms, you may not:
- Modify, copy, create derivative works based on, disassemble, reverse compile, or reverse engineer any part of Doccera's document editing platform
- Frame or mirror any portion of the document editing Services without Doccera's prior written consent
- Reverse engineer, decompile, or disassemble the document editing platform or its AI features
- Access the document editing Services to build a competitive product or service or to benchmark with a non-Doccera product or service
- License, sell, rent, lease, transfer, assign, distribute, display, host, outsource, disclose, or otherwise commercially exploit the document editing Services
- Use automated means, including scrapers, robots, crawlers, data mining tools, or similar, to download data from the document editing Services beyond what is necessary for normal use
- Attempt to circumvent document editing storage limits, feature restrictions, or access limitations
- Use any portion of the Services for any purpose that is unlawful, threatening, abusive, harassing, defamatory, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, vulgar, pornographic, offensive, profane, or otherwise inappropriate
- Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
- Interfere with or attempt to interfere with the proper functioning of the Services or any activities conducted on the Services
6. AI Features and Limitations
Doccera uses artificial intelligence to assist with document editing, grammar correction, style improvement, content generation, document formatting, and other document enhancement features. You acknowledge and agree that:
- AI-generated content or suggestions in your documents may not always be accurate, complete, or suitable for your specific document needs and must be reviewed critically
- You are solely responsible for reviewing, verifying, and approving all AI-generated content or edits before finalizing or sharing your documents
- Doccera may use anonymized content from your documents to train and improve Doccera's AI document editing systems, subject to Doccera's Privacy Policy (you can opt out of this in your account settings)
- AI document editing features may be modified, enhanced, suspended, or discontinued at any time without prior notice
- Premium subscription plans may offer more advanced AI editing features than the free plan, including more sophisticated style analysis, advanced grammar checking, and expanded content generation
- You will not attempt to extract, copy, reverse engineer, or otherwise misappropriate Doccera's AI models through your use of the document editing platform
- AI-generated content may inadvertently reproduce content that resembles third-party copyrighted or otherwise protected content, and you remain responsible for ensuring your final documents do not infringe on third-party rights
- Doccera does not claim ownership of AI-generated content created specifically for you through your use of the Services, but retains all rights to the underlying AI technology and models
Certain AI features may have usage limitations based on your subscription plan, such as the number of AI-assisted edits or the length of content that can be generated. Doccera reserves the right to modify these limits at any time.
7. Disclaimers and Limitations of Liability
7.1 Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We make no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any content available through the Services.
7.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER DOCCERA NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT DOCCERA HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT WILL DOCCERA'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES EXCEED ONE HUNDRED DOLLARS ($100).
8. Indemnification
You agree to indemnify, defend, and hold harmless Doccera and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms, your User Content, or your use of the Services.
9. Term and Termination
These Terms will remain in full force and effect while you use the Services. We may terminate or suspend your access to the Services, without prior notice or liability, for any reason whatsoever, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
You and Doccera agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services (collectively, "Disputes") will be resolved as follows:
Informal Dispute Resolution:
Before filing a claim, you agree to try to resolve the dispute informally by contacting Doccera at docceraai@gmail.com. Doccera will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within thirty (30) days after submission, you or Doccera may proceed with a formal dispute resolution process.Binding Arbitration:
Any dispute that cannot be resolved informally shall be resolved through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.Arbitration Procedures:
The arbitration will be conducted by JAMS under its applicable rules. Payment of all filing, administration, and arbitrator fees will be governed by JAMS's rules, except as provided in this section. If your claim is for $10,000 or less, Doccera will reimburse you for all filing, administration, and arbitrator fees unless the arbitrator finds the arbitration was frivolous or brought for an improper purpose.Class Action Waiver:
YOU AND DOCCERA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Doccera agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.Opt-Out Right:
You have the right to opt out of the provisions of this Arbitration Agreement by sending written notice of your decision to opt out to docceraai@gmail.com within thirty (30) days after first becoming subject to this Arbitration Agreement. Your notice must include your name and address, your Doccera username (if any), and a clear statement that you want to opt out of this Arbitration Agreement.
If any portion of this Arbitration Agreement is found to be unenforceable, the unenforceable portion shall be severed and the remaining portions shall still be enforceable, except that if the Class Action Waiver is found unenforceable, the entire Arbitration Agreement shall be null and void.
11. Miscellaneous
11.1 Entire Agreement
These Terms constitute the entire agreement between you and Doccera regarding our Services and supersede any prior agreements between you and Doccera relating to the Services.
11.2 Waiver
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
11.3 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
11.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.
